Guide / Company Hold Harmless Agreement

This agreement is required of all professional hunting guides and guide companies who create profiles or are added to listings on the Platform. It is executed digitally at account registration via Dropbox Sign and must be completed before any profile or listing goes live.

1. Parties

This Guide / Company Hold Harmless Agreement (“Agreement”) is entered into between Bare Bone Outdoor Services LLC, a Texas limited liability company (“Company”), and the individual guide or guide company registering a profile on the Platform (“Guide”). This Agreement governs Guide’s use of the Platform and the commercial guiding services Guide performs in connection with hunts arranged through the Platform.

2. Guide Representations and Qualifications

By executing this Agreement, Guide represents and warrants that:

  • Guide holds a valid Texas Hunting License and has completed Hunter Education certification as required under Texas law;
  • Guide possesses all state and federal permits, licenses, and authorizations required for the species and activities listed in Guide’s profile, including — where applicable — a Federal Commercial Migratory Bird Permit for waterfowl guiding;
  • All information submitted in Guide’s profile (species specializations, service counties, experience, references) is accurate and complete to the best of Guide’s knowledge;
  • Guide will maintain all required licenses and permits in good standing for the duration of Guide’s active presence on the Platform and will immediately notify the Company of any suspension, revocation, or material change in licensure status;
  • Guide is aware of and will comply with all applicable federal (U.S. Fish & Wildlife Service), Texas Parks and Wildlife Department, and other regulatory requirements governing each hunt Guide leads through the Platform;
  • Guide has not been convicted of any wildlife violation, firearm offense, or other crime that would disqualify Guide from guiding hunters under applicable law.

3. Assumption of Risk — Commercial Guiding

Guide acknowledges that commercial hunting guide services involve inherent risks, including but not limited to:

  • Firearm discharge, ricochet, and accidental discharge by hunters in Guide’s group;
  • Physical injury from terrain, weather, wildlife, or agricultural hazards on the property;
  • Hunter non-compliance with Guide’s safety instructions;
  • Vehicle and equipment accidents during transport to and from the hunting area;
  • Exposure to extreme weather conditions common to Texas hunting seasons.

Guide voluntarily assumes these risks as a professional guide and acknowledges that they are inherent to commercial guiding operations.

4. Texas Agri-Tourism Act — Chapter 75A Notice

Statutory Warning — Required Under Texas Law

WARNING: Under the Texas Agri-Tourism Activity Liability Act (Chapter 75A, Texas Civil Practice and Remedies Code), there is no liability for an injury to or the death of a participant in an agri-tourism activity conducted at this property if the injury or death results from the inherent risks of the agri-tourism activity. Inherent risks of agri-tourism activities include, among others, risks of injury inherent to land, equipment, and animals, as well as the potential for you to act in a negligent manner that may contribute to your injury or death. You are assuming the risk of participating in this agri-tourism activity.

Guide acknowledges receipt of the above statutory warning. Guide further acknowledges that as a commercial participant facilitating hunting activities for compensation, Guide is not relieved of professional duty of care obligations that may arise under applicable law independent of this Agreement.

5. Hold Harmless and Indemnification — Guide to Company

To the maximum extent permitted by applicable law, Guide agrees to indemnify, defend, and hold harmless the Company, its members, managers, employees, contractors, and agents (collectively, “Company Parties”) from and against any and all claims, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of or relating to:

  • Any injury, death, or property damage occurring during or in connection with a hunt Guide leads through the Platform;
  • Any inaccuracy, omission, or misrepresentation in Guide’s profile or in representations made to hunters or landowners;
  • Guide’s failure to hold or maintain required licenses or permits;
  • Any violation of federal or Texas wildlife regulations in connection with hunts Guide leads through the Platform, including but not limited to baiting, over-limit takes, closed-season activity, or non-toxic shot violations;
  • Any claim by a hunter or landowner arising from Guide’s conduct during a booked hunt.

This indemnification obligation survives the termination of this Agreement and Guide’s use of the Platform.

6. Insurance

Guide is strongly encouraged — and for any guide leading groups of three or more hunters, is required — to maintain commercial general liability insurance in the minimum amount of $500,000 per occurrence covering commercial hunting guide activities. Guide may be required to provide a certificate of insurance to the Company and/or the listing landowner upon request.

The Company does not provide or arrange insurance coverage for Guide. Any gap in coverage is Guide’s sole responsibility.

7. Anti-Circumvention

Guide agrees that all bookings for hunters connected through the Platform — whether Guide is listed on a landowner’s listing (Scenario B) or has posted on the Guide Lease Board (Scenario C) — must be completed through the Platform’s payment system unless the listing structure explicitly provides otherwise. Guide shall not solicit, accept, or facilitate off-platform payments for any hunter relationship initiated through the Platform. Violation of this provision constitutes a material breach of this Agreement and the Platform Terms, resulting in immediate account suspension, forfeiture of all pending payouts, and a permanent ban from the Platform.

8. Federal Waterfowl Guiding Requirements

Guides offering waterfowl (duck, goose) guiding services through the Platform represent that they are aware of and will comply with all U.S. Fish & Wildlife Service requirements applicable to commercial migratory bird guiding, including the Federal Commercial Migratory Bird Permit where required. Guide shall ensure that all hunters in Guide’s groups possess valid Federal Duck Stamps and HIP certification before any waterfowl hunt commences. Guide shall not guide any hunt on a baited field and shall take reasonable steps to verify compliance before commencing any hunt. Non-toxic shot is required for all waterfowl hunts — no exceptions.

9. Profile Accuracy and Platform Conduct

Guide agrees to keep all profile information current, to promptly notify the Company of any change in licensure or permit status, and to conduct all hunts professionally and in accordance with applicable law. Guide acknowledges that the Company may remove Guide’s profile, reject Guide from listings, or suspend Guide’s account based on hunter complaints, verified regulatory violations, or unresolved strikes under the Platform’s strike policy.

10. Platform Fees and Payouts

Guide agrees to the fee structure set forth in the Platform Terms of Service. For Scenario B listings (land + guide bundled), the Platform collects a 10% commission on the guide fee portion of each booking. For Scenario C (Guide Lease Board), Guide pays a flat $75 posting fee and negotiates directly with the landowner for compensation, which is not processed by the Platform. Guide acknowledges that applicable platform fees will be deducted before any payout is initiated.

11. Governing Law

This Agreement is governed by the laws of the State of Texas. Any disputes arising hereunder shall be resolved in the state or federal courts of Tom Green County, Texas. In any action by the Company to enforce its rights under Section 5 (indemnification) or Section 7 (anti-circumvention), the prevailing party shall be entitled to an award of attorney’s fees.

12. Entire Agreement

This Agreement, together with the Platform Terms of Service, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements or understandings. This Agreement may be updated by the Company upon reasonable notice. Continued use of the Platform following notice of an update constitutes acceptance of the revised terms.
